About the Role

We are seeking an experienced and dynamic legal professional to join our expanding financial institution as the Head, Company Secretariat. In this critical leadership role, you will provide comprehensive corporate governance and secretarial support to the Board and Management, ensuring strict adherence to statutory, regulatory, and corporate governance requirements within the Nigerian financial sector.

Key Responsibilities
  • Provide expert corporate secretarial and governance support to the Board of Directors and its Committees.
  • Coordinate Board and Committee meetings, including the meticulous preparation of agendas, notices, minutes, and resolutions.
  • Ensure timely and accurate statutory and regulatory filings with the Corporate Affairs Commission and other bodies.
  • Maintain statutory registers, corporate records, and essential governance documentation.
  • Advise the Board and Management on evolving corporate governance and regulatory matters.
  • Ensure full compliance with applicable laws, including directives from the Central Bank of Nigeria, NDIC, and CAC.
  • Monitor changes in relevant laws and regulations, proactively advising Management accordingly.
  • Facilitate seamless communication between the Board, Management, regulators, shareholders, and key stakeholders.
  • Manage proper documentation and diligent follow-up of all Board and Committee decisions.
  • Liaise effectively with external solicitors, regulators, auditors, and other professional advisers.
  • Lead, supervise, mentor, and develop the high-performing Company Secretariat team.

Qualifications
  • Bachelor's degree in Law (LL.B) or a closely related field.
  • Mandatory BL qualification; additional professional qualifications in Company Secretarial Practice or Corporate Governance are a strong advantage.
  • Possession of a Master's degree will be an added advantage.
  • Minimum of 7 years of relevant experience in company secretarial, legal, corporate governance, or regulatory roles.
  • Prior working experience in banking, microfinance, fintech, or other heavily regulated financial institutions in Nigeria is highly desirable.
  • Demonstrated mastery of corporate governance, statutory compliance, Board processes, and Nigerian regulatory requirements.
  • Exceptional legal, analytical, documentation, advisory, and stakeholder-management capabilities.
