About the Role
GMT Securities & Asset Management Limited, a premier Nigerian investment advisory and stockbroking firm registered with the Securities and Exchange Commission (SEC), is seeking a dynamic and experienced Company Secretary / Legal Adviser. In this critical role, you will ensure our corporate governance practices meet the highest regulatory standards while safeguarding the company's legal interests in Nigeria's fast-paced financial sector.
Key Responsibilities- Provide comprehensive legal advice on corporate transactions, regulatory compliance, and investment operations.
- Manage board meetings, prepare agendas, record minutes, and follow up on resolutions.
- Ensure full compliance with SEC regulations, the Companies and Allied Matters Act (CAMA), and other relevant Nigerian laws.
- Draft, review, and negotiate various legal documents, contracts, and service agreements.
- Act as the primary liaison between the company, regulatory bodies, and external stakeholders.
- Maintain statutory registers and handle all corporate secretarial filings promptly.
- Minimum of LL.B and BL; relevant postgraduate qualifications such as an MBA, B.Sc., or CIS will be an added advantage.
- Proven professional experience as a Company Secretary or Legal Adviser within the financial services or capital markets sector.
- In-depth knowledge of SEC regulations and Nigerian corporate law.
