About the Role

Sepha Energies Limited is an indigenous upstream oilfield services company delivering advanced solutions across drilling, formation evaluation, wellbore construction, completions, and interventions. We are currently seeking a dynamic and experienced legal and corporate governance professional to join our team as Company Secretary & Legal/Compliance Officer. In this critical leadership role, you will support the Board of Directors, strengthen our corporate governance framework, manage complex legal and contractual matters, and ensure rigorous regulatory compliance across all operations in Nigeria's vibrant energy sector.

Key Responsibilities
  • Serve as Company Secretary, providing high-level governance support to the Chairman, Board of Directors, and Board Committees.
  • Coordinate Board and Committee meetings, preparing comprehensive agendas, papers, minutes, resolutions, and statutory records.
  • Advise the Board and Management on corporate governance best practices, directors’ duties, and evolving statutory requirements.
  • Manage statutory corporate records, filings, Board changes, and all corporate secretarial duties under the Companies and Allied Matters Act.
  • Draft, review, and negotiate complex commercial contracts, MOUs, NDAs, partnership agreements, and joint venture arrangements.
  • Provide strategic legal support for major oil and gas projects, financing arrangements, and corporate investments.
  • Develop, implement, and maintain robust legal and compliance frameworks, internal policies, and risk registers.
  • Identify, monitor, and proactively advise Management on legal, contractual, and regulatory compliance risks.
  • Manage disputes and litigation while effectively coordinating external solicitors and specialist legal counsel.
  • Collaborate closely with Finance, HR, Commercial, Operations, and HSE functions to foster a culture of organization-wide compliance.

Qualifications
  • LL.B and B.L degrees with active call to the Nigerian Bar and valid practicing license.
  • Minimum of 8 years of post-call experience, featuring substantial corporate and commercial legal practice.
  • Proven expertise in Company Secretarial practice, corporate governance, and regulatory compliance.
  • Demonstrated history of supporting Boards of Directors and senior executive management teams.
  • Exceptional contract drafting, review, and negotiation capabilities with strong attention to detail.
  • Comprehensive knowledge of CAMA and relevant regulatory frameworks within the Nigerian business environment.
  • Prior experience in the oil and gas, energy, infrastructure, or related heavy sectors will be a distinct advantage.
  • Track record of handling major commercial transactions, corporate financing, or strategic partnerships is highly desirable.
